Label’Vie calls bondholders’ General Assembly to strengthen governance

Label’Vie, a leading player in Morocco’s retail sector, has announced that a General Assembly for bondholders will be held on February 24, 2025, at 5 PM at the company’s headquarters in Rabat. This meeting, organized in connection with the bond issuance of December 30, 2024, will serve as a platform to address key decisions concerning the management and representation of bondholders’ interests.

Several critical issues are on the agenda, including the appointment of a permanent representative for bondholders, the delegation of authority, and compliance with the necessary legal formalities to ensure the smooth management of the bond loan. Additionally, the meeting will provide an opportunity to discuss various other matters relevant to bondholders.

A significant point of discussion will be the formal appointment of Amine Baakili as the permanent representative of bondholders. Based in Casablanca and of Moroccan nationality, Baakili has accepted this responsibility, which grants him full authority to safeguard bondholders’ interests in accordance with Law 17-95 on joint-stock companies. His duties will include overseeing and protecting the collective interests of the bondholders, with all related costs covered by Label’Vie.

Under Article 299 of Law 17-95, bondholders are automatically grouped into a legal entity with moral personality, empowering them to collectively assert their rights. The General Assembly will officially grant the permanent representative the authority to undertake all necessary actions to manage and protect the interests of the bondholders.

This Assembly reflects Label’Vie’s ongoing commitment to transparent and effective corporate governance, ensuring that investors’ interests are well-protected while reinforcing the company’s financial stability and long-term commitments.
