Heidelberg Materials is reshuffling its internal structure with a strategic move involving its Moroccan subsidiary. The group’s Italian branch, Heidelberg Materials Italia Cementi Spa, has just transferred its entire stake in Ciments du Maroc—nearly 5.92 million shares, representing 41% of the company’s capital—to a newly forming German entity named Heidelberg Materials AMWA Holding GmbH.

Though this new entity has yet to be officially registered in Germany’s commercial registry, the transfer serves as the initial capital subscription for its creation. Once the company is formally established, full ownership of the Moroccan shares will be handed over from the Italian subsidiary to the group’s parent company, Heidelberg Materials AG.

This transaction is part of a broader internal reorganization aimed at streamlining the group’s legal structure and simplifying its ownership model in Morocco. Despite the changes in how the shares are held, the group’s overall stake in Ciments du Maroc remains unchanged. Heidelberg Materials will continue to indirectly control 51% of the company, maintaining its position as the majority shareholder.
