Heliconia Morocco set for major ownership change as Saudi firm advances deal

A major shift is underway in Morocco’s helicopter industry, as a rising Saudi aviation company prepares to take control of two key players in the sector. The Helicopter and Jet Company, based in Saudi Arabia, has launched proceedings to acquire a 76% stake—along with voting rights—in both Heliconia Africa Development and Heliconia Aero Solutions. If completed, the deal would hand the Saudi firm full control over both companies.

This strategic move is part of a broader effort to fold Heliconia’s operations into a fast-growing regional aviation platform. The Helicopter and Jet Company offers a wide range of services across civil, medical, industrial, and tourism-related helicopter transport. Beyond flying missions, it also specializes in aircraft maintenance, fleet management, and complex aviation operations tailored to high-demand clients.

Heliconia Africa Development, a simplified joint-stock company, serves as the group’s strategic nerve center in Africa. Operating out of Morocco, it manages the company’s expansion across the continent and handles administrative and commercial coordination for its various affiliates.

Meanwhile, Heliconia Aero Solutions focuses on field operations. Structured as a Moroccan limited liability company, it handles on-the-ground helicopter transport and a range of specialized aerial services. The company maintains an active presence at multiple locations throughout Morocco, making it a critical piece of the country’s airborne infrastructure.
