Aluminium du Maroc finalizes merger with Industube

The Extraordinary General Assembly of Aluminium du Maroc, chaired by Abdeslam El Alami, convened on November 14, 2024, marking a pivotal moment in the company’s development strategy. During the meeting, shareholders unanimously approved the merger-absorption of Industube, a strategic move that solidifies the group’s position in the aluminum sector.

A key point of the meeting was the amendment of Article 11.2 of the merger agreement. This modification focused on recalculating the merger premium, which is derived from the difference between the net assets contributed by Industube, amounting to 91,794,712.38 MAD, and the book value of Industube shares held by Aluminium du Maroc, valued at 74,999,887.50 MAD. The resulting merger premium stands at 16,794,824.88 MAD. Aside from this adjustment, the rest of the merger agreement remains unchanged.
