This Friday, Dislog Group announced an agreement with Nacer Amrani, founder and principal shareholder of Megaflex SARL, to acquire a 75% majority stake in the company, with the potential to reach 100% ownership by 2027.
Megaflex specializes in the distribution and maintenance of automated machines and reagents used by medical analysis laboratories. As one of the key players in its sector in Morocco, Megaflex serves 1,400 laboratories across both the public and private sectors. The company distributes world-class brands in major medical analysis disciplines, including Sysmex (global leader in hematology), Siemens, and Illumina (world leader in genetic sequencing), according to a statement from Dislog Group.
Through this acquisition, Dislog Group strengthens its position within the healthcare value chain.
Additionally, Nadia Lahlou has been appointed Director of the Medical Devices Division at Dislog Group and will lead Megaflex under the supervision of Nacer Amrani and Amine Tahiri, President of Dislog Group Healthcare, for the next three years.
Megaflex employs 72 people and plans to continue its development and growth through concrete synergies with other subsidiaries of Dislog Group Healthcare. These synergies will enable Megaflex to (1) consolidate and strengthen its market position in in-vitro diagnostics and (2) support the growth of the healthcare sector in Morocco.
Notably, Dislog Group was advised by Fintrust Capital, represented by Moncef Benzakour for M&A, and by Maître Rachid Hilmi for legal matters. Nacer Amrani received advice from Arden Capital, represented by Amine El Azher for financial/M&A consulting, and by DLA Piper (Benoit De Monval and Kenza Belghiti Alaoui) for legal advice.
The transaction is subject to obtaining the necessary administrative approvals, including from the Competition Council, the statement concluded.
